By creating an account, accessing or using the Services, purchasing a subscription, or clicking an acceptance button or checkbox, you agree to be bound by these Terms.
If you use the Services on behalf of a company, business, organization, or other legal entity, you represent and warrant that you have the authority to accept these Terms on its behalf. In that case, "you" and "your" will refer to that entity and its authorized users.
If you do not agree to these Terms, you must not access or use the Services.
1. About Aexon
Aexon provides business communication and automation tools designed to help businesses manage customer conversations, messaging, CRM activities, workflows, campaigns, appointments, and related business processes.
Depending on your subscription or account configuration, the Services may include:
- WhatsApp automation
- WhatsApp inbox and customer conversations
- Automated workflows and chat flows
- CRM and contact management
- Lead and pipeline management
- Appointment and booking functionality
- Campaign and messaging tools
- Integrations with third-party services
- Analytics and reporting
- APIs and developer functionality
- Other features that Aexon may introduce from time to time
Certain features may depend on third-party platforms, providers, APIs, telecommunications networks, or other services outside Aexon's control.
2. Eligibility
You must be at least 18 years old, or the applicable age of majority in your jurisdiction, to use the Services unless applicable law permits otherwise.
By accessing or using the Services, you represent and warrant that:
- you have the legal capacity to enter into these Terms
- the information you provide to Aexon is accurate and complete
- you will keep your account information accurate and up to date
- you will use the Services in compliance with applicable laws and regulations
- if you are acting on behalf of an organization, you have the authority to bind that organization to these Terms
3. Account Registration and Security
Certain features of the Services require you to create an Aexon account.
You are responsible for:
- providing accurate registration information
- maintaining the confidentiality of your login credentials
- controlling access to your account
- ensuring that your authorized users use the Services appropriately
- all activities conducted through your account, except to the extent caused by Aexon's breach of its obligations
You must not share account credentials with unauthorized individuals or allow unauthorized persons to access your account.
You must promptly notify Aexon if you believe that your account has been compromised, accessed without authorization, or used in violation of these Terms.
Aexon may require additional verification or authentication measures where reasonably necessary to protect your account, Customer Data, or the security of the Services.
4. Use of the Services
Subject to these Terms and your applicable subscription, Aexon grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your applicable subscription period.
You may use the Services only for legitimate business purposes and in accordance with:
- these Terms
- our Privacy Policy
- our Acceptable Use & Anti-Spam Policy
- our Refund & Cancellation Policy
- any applicable Data Processing Agreement
- applicable order or subscription terms
- all applicable laws and regulations
You are responsible for configuring and using the Services appropriately for your business and ensuring that your use of messaging, automation, CRM, and other features complies with applicable requirements.
5. Restrictions on Use
You must not, and must not permit another person to:
- Use the Services for unlawful, fraudulent, deceptive, abusive, or harmful activities
- Send spam or unsolicited communications
- Violate applicable privacy, telecommunications, advertising, consumer-protection, or messaging laws
- Send communications without obtaining any consent or other lawful basis required by applicable law
- Impersonate another person, business, organization, or service
- Distribute malware, viruses, malicious code, or other harmful material through the Services
- Attempt to gain unauthorized access to the Services or another user's account
- Interfere with, disrupt, or degrade the Services
- Circumvent usage restrictions, security measures, or technical limitations
- Reverse engineer, decompile, disassemble, or attempt to obtain the source code of the Services, except where expressly permitted by applicable law
- Copy, reproduce, modify, or create derivative works of the Services except as expressly permitted
- Resell, sublicense, lease, or commercially exploit the Services outside the permitted scope of your subscription
- Use the Services to develop or operate a competing service
- Scrape, harvest, or collect information from the Services through unauthorized automated means
- Use the Services in violation of applicable third-party platform policies
- Use the Services to infringe another person's intellectual property, privacy, publicity, or other rights
- Attempt to bypass, disable, or interfere with any security, authentication, or access-control mechanism
Aexon may investigate suspected violations and take appropriate action, including restricting or suspending access where reasonably necessary.
6. WhatsApp and Third-Party Services
Certain Aexon features rely on WhatsApp, Meta, or other third-party services.
Your use of those services may be subject to separate terms, policies, requirements, pricing, approval processes, and restrictions imposed by the applicable third party.
For WhatsApp-related Services, you acknowledge that:
- WhatsApp and Meta control their respective platforms and policies
- WhatsApp message and conversation charges may apply separately from Aexon subscription fees
- message templates may require approval by Meta
- Meta may impose messaging limits, quality restrictions, or other requirements
- Meta may suspend, restrict, or terminate WhatsApp Business accounts or phone numbers
- message delivery depends on third-party infrastructure and recipient availability
- Aexon cannot guarantee approval, delivery, availability, messaging limits, or continued access to third-party services
Aexon is not responsible for third-party services that are outside Aexon's reasonable control.
Third-party services may change their APIs, policies, pricing, features, availability, or technical requirements without Aexon's control.
7. Customer Content and Data
You retain ownership of the content, information, data, files, contacts, messages, media, CRM records, and other information that you submit to or process through the Services ("Customer Data").
You grant Aexon a limited right to access, process, store, transmit, and use Customer Data only as reasonably necessary to:
- provide and operate the Services
- process transactions
- provide customer support
- maintain security
- prevent fraud and abuse
- troubleshoot technical issues
- comply with legal obligations
- enforce these Terms
- perform other activities permitted by our Privacy Policy or an applicable Data Processing Agreement
You are responsible for ensuring that you have all rights, permissions, notices, and lawful bases required to collect, upload, use, and process Customer Data through the Services.
You must not submit data to Aexon that you are not legally authorized to process.
8. Personal Data and Privacy
Aexon's collection and use of personal information is described in our Privacy Policy.
Where applicable, you may act as the data controller or Data Fiduciary for personal data relating to your customers, contacts, leads, or other individuals, while Aexon may process such information on your behalf as a processor or Data Processor.
The parties' specific obligations regarding personal data may be further described in an applicable Data Processing Agreement.
You remain responsible for:
- providing legally required privacy notices
- obtaining legally required consent
- maintaining an appropriate lawful basis for processing
- responding to data-subject requests where applicable
- honoring withdrawal and opt-out requests
- maintaining appropriate records
- complying with applicable data-protection laws
Nothing in these Terms is intended to replace any consent that applicable law requires to be obtained separately and affirmatively.
9. Messaging and Anti-Spam Requirements
You are solely responsible for the messages and communications sent through your account.
You must ensure that your messaging activities comply with all applicable laws and platform requirements.
This includes, where applicable:
- obtaining required consent
- providing appropriate identification
- providing legally required disclosures
- maintaining appropriate opt-out mechanisms
- honoring unsubscribe requests
- maintaining suppression lists
- using approved messaging templates where required
- complying with WhatsApp and Meta policies
- complying with applicable telecommunications and anti-spam requirements
You must not use Aexon to send communications that are misleading, fraudulent, unlawful, abusive, threatening, defamatory, or otherwise prohibited.
Aexon may restrict or suspend messaging functionality where we reasonably believe that continued messaging presents a material legal, security, platform, or operational risk.
10. Plans, Subscriptions, Trials, and Usage
The features and limits available to you depend on your selected subscription plan.
Your plan may include limitations relating to:
- users
- contacts
- messages
- conversations
- automation
- storage
- integrations
- API usage
- campaigns
- workflows
- other resources
Aexon may offer free trials, promotional plans, beta functionality, or limited-access features.
Unless otherwise stated, trials may be subject to expiration, usage restrictions, and eligibility requirements.
Aexon may change, discontinue, or modify trial programs and promotional offers at any time.
11. Fees and Billing
Subscription fees are charged according to the pricing and billing terms presented when you purchase or subscribe to the Services.
Unless otherwise specified:
- subscriptions may automatically renew
- applicable fees are charged at the beginning of each billing period
- you are responsible for maintaining a valid payment method
- applicable taxes may be added where required by law
- third-party charges may be billed separately or passed through where applicable
You authorize Aexon and its payment providers to charge applicable subscription fees to your selected payment method.
If a payment fails or remains overdue, Aexon may restrict or suspend access to paid features after providing reasonable notice where practicable.
12. Third-Party and Meta Charges
Certain Services may involve charges imposed by third parties, including Meta or WhatsApp.
Third-party charges may include:
- WhatsApp conversation charges
- messaging charges
- template-related charges
- API usage charges
- telecommunications charges
- other applicable third-party fees
Third-party pricing may change independently of Aexon.
Where Aexon collects or passes through such charges, the applicable amount or pricing methodology will be presented through the relevant Service or billing interface.
13. Taxes
Unless expressly stated otherwise, all fees are exclusive of applicable taxes.
You are responsible for applicable GST, VAT, sales tax, withholding tax, or other governmental charges arising from your purchase or use of the Services, except taxes imposed on Aexon's income.
Where required by law, Aexon may collect and remit applicable taxes.
14. Intellectual Property
Aexon and its licensors own all right, title, and interest in the Services and related technology.
This includes, without limitation:
- software
- source and object code
- interfaces
- workflows
- designs
- graphics
- documentation
- trademarks
- logos
- databases
- platform architecture
- product features
- other intellectual property
Nothing in these Terms transfers ownership of Aexon's intellectual property to you.
You may use Aexon's intellectual property only as necessary to use the Services in accordance with these Terms.
You retain ownership of your Customer Data and materials that you independently provide to Aexon.
15. Feedback
If you provide suggestions, recommendations, ideas, feature requests, or other feedback relating to Aexon, you grant Aexon a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, and incorporate that feedback into the Services without compensation or attribution.
Feedback does not include your confidential information or Customer Data.
16. Confidentiality
Each party may receive confidential information from the other party.
The receiving party will:
- use reasonable care to protect confidential information
- use it only for purposes related to the relationship between the parties
- disclose it only to persons who need to know it and are subject to appropriate confidentiality obligations
Confidential information does not include information that:
- is publicly available without breach
- was already lawfully known
- is independently developed
- is lawfully received from another source
- must be disclosed by law or governmental authority
17. Service Availability and Changes
Aexon continuously improves and updates the Services.
We may add, modify, replace, or discontinue features from time to time.
We may make changes for reasons including:
- security
- performance
- technical improvements
- legal or regulatory requirements
- third-party platform changes
- business requirements
- product development
We will use reasonable efforts to avoid materially reducing the core functionality of paid Services during a prepaid subscription period, except where the change is required for legal, security, third-party, or other circumstances outside our reasonable control.
Aexon does not guarantee that the Services will always be uninterrupted, error-free, or available.
18. Suspension and Termination
Aexon may suspend or restrict your access where reasonably necessary if:
- you materially breach these Terms
- you violate our Acceptable Use & Anti-Spam Policy
- your account presents a security risk
- your use creates a legal or regulatory risk
- payment remains overdue
- suspension is required by law or a governmental authority
- suspension is required by Meta or another critical third-party provider
- your use materially harms the Services or other users
- continued provision of the Services becomes unlawful or commercially impracticable
Where reasonably practicable, Aexon will provide notice and an opportunity to resolve the issue.
You may cancel your subscription in accordance with our Refund & Cancellation Policy.
Upon termination, your right to access paid Services will end.
19. Customer Data After Termination
Following termination or expiration, you may have a limited period to export your Customer Data using available export functionality.
Unless otherwise required by law or agreed in writing, Aexon may delete Customer Data after the applicable retention period.
Aexon may retain information where reasonably necessary to:
- comply with legal obligations
- resolve disputes
- enforce agreements
- prevent fraud
- maintain security
- satisfy legitimate record-keeping requirements
Any applicable data-retention and deletion requirements are further described in our Privacy Policy and Data Processing Agreement.
20. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Aexon does not guarantee that:
- the Services will always be available
- the Services will be uninterrupted or error-free
- messages will always be delivered
- WhatsApp or Meta will approve templates or accounts
- third-party integrations will remain available
- third-party platforms will maintain their APIs
- the Services will meet every business requirement
- information obtained through the Services will always be complete or accurate
Aexon does not control the conduct of your customers, leads, contacts, message recipients, or other end users.
Nothing in these Terms excludes rights or remedies that cannot legally be excluded under applicable law.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Aexon will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of:
- profits
- revenue
- business opportunities
- goodwill
- anticipated savings
- data
To the maximum extent permitted by law, Aexon's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the fees paid by you to Aexon for the Services during the 12 months immediately preceding the event giving rise to the claim.
Nothing in this Section limits liability that cannot legally be limited or excluded, including liability arising from fraud, willful misconduct, or other liability that applicable law prohibits from being limited.
22. Indemnification
You agree to defend, indemnify, and hold harmless Aexon, its affiliates, officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from:
- your use of the Services
- Customer Data
- your communications or messaging activities
- your violation of these Terms
- your violation of applicable law
- your violation of third-party platform policies
- your violation of privacy or data-protection requirements
- claims arising from your relationship with your customers or end users
Aexon will provide reasonable notice of any indemnified claim and may participate in its defense.
23. Compliance With Laws
You are responsible for ensuring that your use of the Services complies with all laws applicable to your business and location.
Depending on your circumstances, these may include laws relating to:
- privacy and data protection
- electronic communications
- telecommunications
- marketing
- consumer protection
- advertising
- anti-spam requirements
- intellectual property
- cybersecurity
- taxation
- other applicable regulatory requirements
Aexon does not provide legal advice regarding your compliance obligations.
24. Changes to These Terms
Aexon may update these Terms from time to time.
We use different procedures depending on the nature and importance of the change.
24.1 Non-Material Changes
For non-material changes, including typographical corrections, formatting changes, clarification of existing provisions, or changes that do not materially affect your rights or obligations, Aexon may:
- update these Terms
- update the Last Updated date
- update the version number
- record the change in the Aexon legal changelog
Non-material changes may become effective when published unless another effective date is specified.
24.2 Material Changes
If we make a material change to these Terms, we will generally provide at least 30 days' advance notice before the updated Terms become effective.
Notice may be provided through:
- email to the account owner or administrator
- an in-app or dashboard notification
- a notification within the Services
- a notice on the Aexon website
- another reasonable communication method
Where reasonably practicable, we will provide a short, plain-language explanation of:
- what changed
- why the change was made
- when the change will become effective
If you do not agree with a material change, you may cancel your subscription before the updated Terms become effective, subject to applicable cancellation and refund provisions.
Unless applicable law requires a different process, your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms.
24.3 High-Impact Changes
For changes that materially affect important contractual matters, including significant changes to:
- dispute resolution
- arbitration
- material liability provisions
- pricing structures
- significant data-processing obligations
- other high-impact contractual provisions
Aexon may require you to expressly accept the updated Terms before continuing to use the affected Services.
Where required, you may receive an in-product notice or login prompt containing information about the updated Terms and an "I Agree" or "Accept Updated Terms" button.
If re-acceptance is required, you may be unable to continue using the affected Services until you accept the updated Terms.
24.4 Privacy and Data-Protection Changes
Changes to our Privacy Policy or data-processing practices may be subject to additional requirements under applicable privacy and data-protection laws.
Acceptance of updated Terms does not automatically constitute consent to personal-data processing where applicable law requires separate, specific, informed, affirmative, or otherwise valid consent.
Where renewed consent or another legal basis is required, Aexon will take the steps required by applicable law.
24.5 Version History and Legal Changelog
Aexon may maintain a legal changelog and archive of previous versions of its Terms and other legal policies.
The current version will identify:
- the version number
- the Last Updated date
- the Effective Date
The legal changelog may provide a summary of significant changes, including changes relating to:
- pricing
- billing
- data processing
- refunds
- acceptable use
- dispute resolution
- security
- other material contractual provisions
Where available, previous versions may remain accessible through Aexon's legal archive.
24.6 Acceptance Records
Where you accept these Terms electronically, Aexon may maintain an electronic record of your acceptance.
Such records may include:
- the version of the Terms accepted
- date and time of acceptance
- account or user identifier
- acceptance method
- IP address
- other reasonable technical or audit information
These records may be retained for legal, regulatory, security, compliance, audit, and dispute-resolution purposes in accordance with applicable law and our Privacy Policy.
25. Governing Law
These Terms are governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.
Nothing in these Terms prevents you from exercising mandatory rights or remedies available to you under applicable consumer-protection or other mandatory laws.
26. Dispute Resolution
If a dispute arises between you and Aexon, the parties will first attempt to resolve the dispute in good faith.
The party raising the dispute should provide written notice describing the issue.
The parties will make reasonable efforts to resolve the dispute within 30 days after receiving the notice.
If the dispute cannot be resolved through good-faith discussions, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, subject to applicable law.
The arbitration will be conducted by a sole arbitrator.
The seat and venue of arbitration will be determined in accordance with the applicable agreement between the parties and applicable law.
The language of arbitration will be English.
Nothing in this Section prevents a party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where permitted by law.
27. Force Majeure
Aexon will not be liable for failure or delay caused by circumstances beyond its reasonable control.
These circumstances may include:
- natural disasters
- internet or telecommunications failures
- power failures
- cyber incidents outside our reasonable control
- government actions
- regulatory changes
- war
- terrorism
- civil unrest
- epidemics or pandemics
- labor disputes
- third-party outages
- Meta or WhatsApp outages or restrictions
- other events beyond our reasonable control
28. Assignment
You may not assign or transfer your rights or obligations under these Terms without Aexon's prior written consent.
Aexon may assign or transfer these Terms to an affiliate or in connection with a merger, acquisition, corporate restructuring, financing, or sale of all or substantially all of its assets.
29. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable.
The remaining provisions will continue in full force and effect.
30. Waiver
A failure or delay by either party to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.
31. Entire Agreement
These Terms, together with the following documents where applicable, constitute the entire agreement between you and Aexon regarding your use of the Services:

- Acceptable Use & Anti-Spam Policy
- Refund & Cancellation Policy
- Data Processing Agreement
- applicable Order or subscription agreement
- other policies or agreements expressly incorporated by reference
If there is a conflict between these Terms and an executed Order, the executed Order will control only to the extent of the conflict.
If there is a conflict between these Terms and a Data Processing Agreement regarding the processing of personal data, the Data Processing Agreement will control to the extent of the conflict.
